Terms of Use
These Terms of Use (Terms) govern your access to and use of the auxily.ai website (Website). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website.
These Terms apply only to use of the Website. The supply of the Auxily AI voice receptionist service to paying clients is governed by the separate Auxily Service Agreement entered into with each client.

The Website is operated by Matt Denson, trading as Auxily AI (Auxily, we, us, our), with ABN 82 591 732 037. Auxily is based in Sydney, New South Wales, Australia.

02 Use of the website
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Website in any way that breaches any applicable law or regulation, including the Australian Consumer Law and the Spam Act 2003 (Cth).
- Use the Website to transmit any material that is defamatory, obscene, harassing, threatening or otherwise unlawful.
- Attempt to gain unauthorised access to the Website, the server on which it is hosted, or any related systems or networks.
- Introduce any virus, trojan, worm, logic bomb or other material that is malicious or technologically harmful.
- Use any automated system, including robots, spiders or scrapers, to access the Website without our prior written consent.
- Reproduce, duplicate, copy, sell, resell or exploit any part of the Website, except as expressly permitted in these Terms.
03 Intellectual property
All content on the Website, including text, graphics, logos, icons, images, audio, video, software and design, is owned by Auxily or its licensors and is protected by copyright, trade mark and other intellectual property laws.
The names "Auxily" and "Auxily AI", the Auxily logo and any related marks are trade marks of Auxily. You must not use these marks without our prior written consent.
You may view and download a single copy of material from the Website for your own personal or internal business reference, provided you keep all copyright and proprietary notices intact. Any other use, including reproduction, modification, distribution or republication, requires our prior written consent.
04 Information on the website
The information on the Website is provided for general information purposes only. While we make reasonable efforts to ensure the information is accurate and up to date, we do not warrant or guarantee that:
- The information is accurate, complete, current or reliable.
- The Website will be available without interruption, error-free or free of viruses or other harmful components.
- Any defects in the Website will be corrected.
Any information about pricing, features or service availability on the Website may change without notice. The terms of any specific engagement are governed by the Auxily Service Agreement signed with the client.

The Website may contain links to third-party websites or resources. These links are provided for convenience only and do not constitute an endorsement by Auxily. We are not responsible for the content, accuracy, availability or practices of any third-party website. Your use of any third-party website is at your own risk and subject to that website's terms and privacy policy.
06 Demonstrations and trials
From time to time, the Website may offer demonstration calls, sample agents or trial features. These are provided for evaluation only. Any demonstration agent is not a live business agent and should not be relied on as such. Information provided in a demonstration call may be logged and reviewed by Auxily for the purpose of improving the service.
07 Privacy
Your use of the Website is also subject to our Privacy Policy, which forms part of these Terms. The Privacy Policy explains how we collect, use and disclose personal information. You can read it at auxily.ai/privacy.
08 Disclaimers and consumer guarantees
To the maximum extent permitted by law, we exclude all representations, warranties and conditions in connection with the Website and its content, whether express or implied.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.
Where we are entitled to limit our liability under the Australian Consumer Law for a failure to comply with a consumer guarantee in respect of services that are not of a kind ordinarily acquired for personal, domestic or household use or consumption, our liability is limited, at our option, to:
- Supplying the services again; or
- Paying the cost of having the services supplied again.
09 Limitation of liability
To the maximum extent permitted by law, Auxily and its officers, employees, contractors and agents are not liable for any direct, indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of business, loss of data or loss of goodwill, arising out of or in connection with:
- Your access to or use of, or inability to access or use, the Website.
- Any content on the Website or any third-party website linked from the Website.
- Any conduct or content of any third party on the Website.
Nothing in this clause limits any liability that cannot be excluded under applicable law, including under the Australian Consumer Law.
10 Indemnity
You agree to indemnify Auxily against any claim, loss, damage or expense (including reasonable legal costs) arising from your breach of these Terms or your unlawful or negligent use of the Website.
11 Suspension and termination
We may suspend, restrict or terminate your access to the Website at any time, without notice, if we reasonably believe you have breached these Terms or used the Website in a manner that may cause harm to Auxily or other users.
12 Changes to these terms
We may update these Terms from time to time. The current version will always be available at auxily.ai/terms. Continued use of the Website after the changes take effect constitutes acceptance of the updated Terms. The date at the top of these Terms shows when they were last updated.
13 Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia. You and Auxily submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute arising out of or in connection with these Terms or the Website.
14 General
- Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
- No waiver. A failure or delay by Auxily in exercising any right under these Terms is not a waiver of that right.
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Auxily in relation to your use of the Website.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer our rights without your consent.
